Terms and Conditions

Welcome to The Packaging Studio (“TPS,” “we,” “our,” or “us”).

These Terms & Conditions (“Terms”) govern your use of thepackagingstudio.com and your purchase of custom packaging, printing, design and related products or services from The Packaging Studio.

By placing an order with TPS, approving a quotation or invoice, authorizing production, or otherwise purchasing our products or services, you agree to these Terms.

1. Quotes & Orders

Quotes provided by TPS are based on the information and specifications available at the time of quotation, including product style, dimensions, materials, quantity, printing, finishes, artwork requirements, shipping destination, and other project details.

Unless otherwise stated, a quote is an estimate and may be revised if:

  • Product specifications change
  • Quantities change
  • Artwork requires additional work
  • Material or production requirements change
  • Shipping requirements or destination change
  • Taxes, duties, or other applicable charges change
  • Information provided for the original quote was incomplete or inaccurate

An order is considered accepted when TPS confirms the order and any required payment or deposit has been received.

Customers are responsible for reviewing their quotation, invoice, specifications, and other order information before approving an order.

2. Custom Packaging Specifications

TPS manufactures products according to the specifications approved for each project.

Customers are responsible for confirming important project details, including:

  • Dimensions
  • Quantity
  • Material
  • Printing
  • Colors
  • Finishes
  • Artwork
  • Text and product information
  • Shipping information

Because packaging is custom manufactured, reasonable variations may occur between samples, proofs, production runs, and finished products.

Minor variations in dimensions, material appearance, paper or board characteristics, texture, print registration, finishing, cutting, folding, gluing, and other production characteristics may occur as part of normal manufacturing processes and will not necessarily constitute a defect.

3. Artwork & Customer Content

Customers are responsible for providing artwork and production files in the format and quality reasonably required for production.

You represent that you own or have appropriate permission to use any artwork, trademarks, logos, photographs, graphics, text, designs, product claims, barcodes, or other materials you provide to TPS.

By submitting these materials, you authorize TPS and the production partners involved in your project to reproduce, modify, prepare, and use them as reasonably necessary to quote, proof, manufacture, print, and fulfill your order.

TPS does not acquire ownership of your intellectual property merely because it is submitted for production.

TPS is not responsible for claims arising from customer-supplied content that infringes another person’s intellectual property or other legal rights.

We reserve the right to decline content or projects that we reasonably believe are unlawful, fraudulent, infringing, deceptive, abusive, or otherwise inappropriate for production.

4. Proofs & Customer Approval

Where a digital or physical proof is provided, the customer is responsible for reviewing it carefully before approval.

This includes reviewing:

  • Spelling and grammar
  • Text and product information
  • Logos and artwork
  • Placement and alignment
  • Dimensions and layout
  • Colors and design elements
  • Barcodes and other customer-supplied information
  • Overall packaging specifications

Production may begin after the customer provides final approval.

Once a proof or production specification has been approved, TPS is not responsible for errors that were visible in the approved proof or resulted from information supplied or approved by the customer.

Changes requested after approval may result in additional charges and production delays. Once production has started, some changes may no longer be possible.

5. Color & Print Variations

Colors displayed on screens or digital proofs may differ from colors produced through physical printing.

Differences can result from screen settings, printing methods, inks, coatings, materials, lighting conditions, and other production factors.

Unless a specific color-matching standard has been expressly agreed upon for the order, digital representations should be treated as visual references rather than guarantees of exact physical color reproduction.

Customers requiring strict color matching should communicate those requirements before approving production.

6. Quantity Variations

Custom manufacturing may occasionally result in reasonable over-runs or under-runs from the quantity ordered.

Where a particular quantity tolerance applies to a project, TPS may communicate it in the quotation, invoice, or order specifications.

If an exact quantity is essential, the customer should notify TPS before placing the order so that the requirement can be evaluated and confirmed.

7. Samples & Prototypes

Samples, prototypes, mockups, and pre-production units are intended to help evaluate aspects of a proposed product.

Unless expressly agreed otherwise, a sample may not represent every characteristic of the final production run.

Differences may occur due to production methods, materials, printing processes, finishing, handmade sample construction, or manufacturing scale.

Any sample charges, tooling charges, shipping charges, or other associated costs will be communicated where applicable.

8. Pricing & Payment

Prices are stated in the currency shown on the applicable quote or invoice.

Customers are responsible for paying the amount and according to the payment schedule specified for their order.

TPS may require full payment or a deposit before artwork preparation, sampling, production, or shipment begins.

Production schedules may depend on receipt of required payment and final approval.

Customers are also responsible for applicable taxes, customs charges, duties, import fees, or similar government-imposed charges unless the applicable quotation or invoice expressly states that such charges are included.

TPS may suspend production, withhold shipment, or cancel an order if required payment is not received.

9. Changes & Cancellations

Custom packaging is manufactured specifically for each customer. As a result, cancellation rights are limited once work has begun.

If you need to change or cancel an order, contact TPS as soon as possible.

Before production begins, we will determine whether the requested change or cancellation can reasonably be accommodated.

The customer may remain responsible for costs already incurred, including design work, artwork preparation, proofs, samples, materials, tooling, plates, setup charges, production work, transaction costs, or other expenses specifically incurred for the order.

Once production has begun, an order generally cannot be cancelled or refunded unless TPS agrees otherwise.

10. Production & Turnaround Times

Production and delivery dates provided by TPS are estimates unless we expressly agree in writing to a guaranteed deadline.

Production time may begin only after all required conditions have been completed, which may include:

  • Final artwork approval
  • Proof approval
  • Payment or deposit
  • Confirmation of specifications
  • Receipt of other information required for production

Turnaround times may be affected by order complexity, material availability, production capacity, customer-requested changes, holidays, shipping conditions, customs clearance, or circumstances outside our reasonable control.

Customers with time-sensitive projects should communicate their required deadline before placing an order.

11. Shipping & Delivery

TPS may arrange shipment through third-party carriers, freight companies, couriers, or logistics providers.

Delivery estimates are not guarantees unless expressly stated otherwise in writing.

Shipping may be affected by circumstances outside TPS’s reasonable control, including carrier delays, customs processing, weather, transportation disruptions, incorrect delivery information, or other logistics events.

Customers are responsible for providing complete and accurate shipping information.

Additional charges resulting from an incorrect address, failed delivery, storage, redelivery, customs requirements, or other customer-related delivery issues may be charged to the customer.

The allocation of shipping risk and responsibility for a particular order may also be governed by shipping terms expressly stated in the applicable quotation, invoice, or order documentation.

12. Damaged, Defective or Incorrect Orders

Customers should inspect their order promptly after delivery.

If you believe an order is materially defective, damaged, or does not conform to the approved specifications, contact TPS promptly and provide:

  • Your order or invoice information
  • A description of the issue
  • Clear photographs or video showing the affected products
  • The approximate quantity affected
  • Any other information reasonably requested to evaluate the claim

Do not discard affected products or packaging before TPS has had a reasonable opportunity to review the claim.

TPS may request additional photographs, samples, or return of affected products where reasonably necessary.

If TPS determines that an order contains a material manufacturing error attributable to TPS or its production process, we may, as appropriate under the circumstances, repair, replace, reproduce, credit, or refund the affected portion of the order.

Normal manufacturing tolerances, customer-approved errors, customer-supplied artwork issues, ordinary color variation, damage occurring after delivery, or other matters outside TPS’s reasonable control are not necessarily considered manufacturing defects.

13. Returns & Refunds

Because TPS products are custom manufactured according to customer specifications, they generally cannot be returned or refunded simply because the customer changes their mind, no longer needs the products, or prefers different specifications after production.

Claims involving damaged, defective, or incorrectly produced products will be handled under Section 12.

Any refund, credit, replacement, or reproduction approved by TPS will be limited to the affected products or services unless otherwise required by applicable law.

Nothing in these Terms limits any non-waivable rights or remedies available to a customer under applicable law.

14. Intellectual Property

The TPS name, branding, website design, original website content, graphics, photographs and other materials owned or licensed by The Packaging Studio are protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, republish, commercially exploit, or use TPS-owned content without appropriate authorization, except as permitted by law.

Customer-owned intellectual property remains the property of the customer or its respective owner.

Any original design work created by TPS specifically for a customer may be subject to separate ownership, licensing, or usage terms agreed upon for that project.

15. Website Use

You may use our website for legitimate personal or business purposes relating to TPS products and services.

You may not knowingly:

  • Interfere with the operation or security of the website
  • Attempt unauthorized access to systems or information
  • Introduce malicious software or harmful code
  • Use the website for fraudulent or unlawful purposes
  • Misrepresent your identity or authority
  • Scrape, copy, or exploit website content in violation of applicable law or TPS’s rights

We may modify, suspend, or discontinue portions of the website when reasonably necessary.

16. Third-Party Services

TPS may rely on third parties for services such as payment processing, manufacturing, shipping, website hosting, communications, and other business functions.

Where you interact directly with a third-party website or service, that third party may apply its own terms and policies.

TPS is not responsible for the independent acts, websites, services, or policies of third parties that we do not control, except to the extent responsibility cannot lawfully be excluded.

17. Disclaimer of Warranties

TPS aims to provide products that materially conform to the specifications approved for an order.

Except for express commitments made in an applicable quotation, invoice, order confirmation, or as otherwise required by law, products, services, and website content are provided without additional warranties to the maximum extent permitted by applicable law.

TPS does not guarantee that its website will always operate without interruption or error.

Nothing in these Terms excludes warranties, guarantees, or other rights that cannot legally be excluded.

18. Limitation of Liability

To the maximum extent permitted by applicable law, TPS will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from an order, product, service, website use, shipping delay, or other interaction with TPS.

This may include, where legally permitted, loss of profits, revenue, business opportunities, goodwill, anticipated savings, or other indirect commercial losses.

To the maximum extent permitted by applicable law, TPS’s aggregate liability arising from a particular order will not exceed the amount paid to TPS for the products or services giving rise to the claim.

These limitations do not apply where liability cannot lawfully be excluded or limited.

19. Events Outside Our Reasonable Control

TPS will not be responsible for delay or failure to perform caused by circumstances reasonably outside our control.

Such circumstances may include natural disasters, severe weather, fire, flood, war, civil disturbance, labor disruption, transportation interruption, carrier delays, government action, customs delays, utility or internet outages, material shortages, supply-chain disruptions, or similar events.

We will make reasonable efforts to resume affected services when circumstances permit.

20. Governing Law & Disputes

These Terms and disputes relating to TPS products or services will be governed by the laws applicable to The Packaging Studio’s contracting business entity, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

Before initiating formal legal proceedings, you and TPS agree to make a reasonable effort to resolve disputes directly and in good faith.

Any court proceedings will be brought before a court with appropriate jurisdiction, subject to any rights or jurisdictional protections that cannot lawfully be waived.

21. Privacy

Our collection and handling of personal information is described separately in the TPS Privacy Policy.

22. Changes to These Terms

TPS may update these Terms from time to time to reflect changes in our products, services, business practices, or legal requirements.

The “Last Revised” date at the top of this page indicates when these Terms were most recently updated.

Changes will apply prospectively unless applicable law requires otherwise.

Terms applicable to an existing order will generally be those in effect when that order was accepted, together with any specific terms agreed upon for that order.
